Terms of Service

By accessing or using the website at sneurals.com ("Site") or any services offered by Smart Neural Solutions LLP ("SNS", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or services. These Terms apply to all visitors, clients, training enrollees, job applicants, and any other users of our Site.

Smart Neural Solutions LLP provides the following services:

• Semiconductor Verification Services: Functional verification, UVM-based testbench development, formal verification, and coverage closure for ASIC and FPGA designs.
• RISC-V IP Cores: Design, licensing, and integration support for custom RISC-V processor IP cores targeting automotive, IoT, and edge AI applications.
• Verification as a Service (VaaS): Flexible, subscription-based or project-based verification engagements for global semiconductor companies.
• Embedded Systems & AI Solutions: Neural inference engine development, automotive-grade embedded firmware, and AI-accelerated hardware design.
• Training Programmes: Instructor-led and self-paced courses in VLSI design, RISC-V architecture, UVM methodology, and embedded systems for engineering professionals and students.
• Consulting & Advisory: Technical consulting for chip design teams on verification strategy, tool selection, and methodology.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

You agree to use the Site only for lawful purposes. You must not:

• Use the Site in any way that violates applicable Indian or international laws or regulations.
• Transmit unsolicited commercial communications (spam) or engage in phishing.
• Attempt to gain unauthorised access to any part of the Site, our servers, or any connected systems.
• Scrape, crawl, or systematically extract data from the Site without our prior written consent.
• Upload or transmit malicious code, viruses, or any software intended to damage or disrupt the Site.
• Impersonate SNS, its employees, or any other person or entity.
• Use the Site to infringe the intellectual property rights of SNS or any third party.

When you enrol in an SNS training programme, the following terms apply:

• Enrolment Confirmation: Your enrolment is confirmed only upon receipt of full payment (or an approved instalment plan) and a written confirmation from SNS.
• Fees: Training fees are as published on the Site at the time of enrolment. SNS reserves the right to revise fees for future cohorts.
• Cancellation by Participant: Cancellations made more than 7 days before the course start date are eligible for a full refund. Cancellations within 7 days of the start date are non-refundable but may be transferred to a future cohort.
• Cancellation by SNS: If SNS cancels a course, enrolled participants will receive a full refund or the option to transfer to an equivalent future cohort.
• Certificates: Certificates of completion are issued only upon satisfactory completion of all course requirements, including assessments.
• Intellectual Property: All course materials, recordings, and content provided during training remain the intellectual property of SNS and may not be reproduced or redistributed without written permission.

Semiconductor verification, RISC-V IP licensing, VaaS, and consulting engagements are governed by separate Master Service Agreements (MSAs) or Statements of Work (SOWs) executed between SNS and the client. In the event of any conflict between these Terms and a signed MSA/SOW, the MSA/SOW shall prevail. These Terms apply to the extent not superseded by such agreements.

All content on the Site — including but not limited to text, graphics, logos, icons, images, audio clips, code, and software — is the property of Smart Neural Solutions LLP or its content suppliers and is protected by Indian and international copyright, trademark, and intellectual property laws.

• You may view and print pages from the Site for personal, non-commercial use only.
• You must not reproduce, distribute, modify, create derivative works of, or commercially exploit any content without our prior written consent.
• The SNS name, logo, and tagline "Imagination. Innovation. Technology." are trademarks of Smart Neural Solutions LLP. Unauthorised use is prohibited.
• Any RISC-V IP cores, verification IP, or software tools developed by SNS are proprietary and subject to separate licensing agreements.

Any technical information, design files, specifications, or business information shared by clients with SNS in the course of a service engagement is treated as confidential. SNS will not disclose such information to third parties without the client's prior written consent, except as required by law. Clients are similarly expected to treat SNS's proprietary methodologies, tools, and processes as confidential.

The Site and its content are provided on an "as is" and "as available" basis without any warranties of any kind, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Guarantees that the Site will be uninterrupted, error-free, or free of viruses.
• Accuracy, completeness, or timeliness of any information on the Site.

Information on the Site regarding services, training, and job openings is for general informational purposes only and does not constitute a binding offer or guarantee of availability.

To the fullest extent permitted by applicable law, Smart Neural Solutions LLP, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or services, including but not limited to loss of data, loss of profits, or business interruption, even if SNS has been advised of the possibility of such damages. Our total aggregate liability for any claim arising from these Terms or your use of the Site shall not exceed the amount paid by you to SNS in the three months preceding the claim.

You agree to indemnify, defend, and hold harmless Smart Neural Solutions LLP and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Site, your violation of these Terms, or your infringement of any third-party rights.

The Site may contain links to third-party websites or services. These links are provided for convenience only. SNS does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party sites. Your interactions with third-party sites are governed by their respective terms and policies.

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or your use of the Site shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in India. For professional service engagements, dispute resolution mechanisms specified in the applicable MSA/SOW shall take precedence.

SNS reserves the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to the Site with an updated "Last Updated" date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
